1. About Us
1.1 "M6 Giraffe" ("we", "us", "our") is a trading name of Apprian Limited, a company registered in England and Wales under company number 16700639 with a registered office at South Planks Farm, Garstang Road, Barton, Preston, PR3 5AB.

1.3 These Terms govern your access to and use of the M6 Giraffe website (the "Site"), services (including business directory listings and subscription features), and any related apps (together, the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1.4 We operate the Site as an online directory where businesses ("Advertisers" or "Business Users") pay subscription fees to list their details, logos, images, descriptions, offers, deals, or links ("Listings"). Visibility depends on subscription tier (e.g., national, regional, location-based, or category-specific). Consumers ("Users") can browse Listings and click through to Advertisers' sites, with clicks tracked anonymously via analytics for performance reporting.

2. Age Restrictions
2.1 You must be at least 18 years old to use the Services. By using the Services, you confirm you meet this requirement.

3. Accounts and Registration
3.1 To become an Advertiser or access certain features, you must create an account via Memberstack or similar, providing accurate information.
3.2 You are responsible for maintaining account confidentiality and all activity under it. Notify us immediately of unauthorized use.
3.3 We may suspend or terminate accounts for breach of these Terms.

4. Business Listings and Subscriptions (Advertisers)
4.1 Subscriptions: Paid tiers grant Listing visibility based on plan (e.g., Basic: £X/month, regional; Premium: £Y/month, national). Fees are non-refundable except as required by law. Subscriptions auto-renew monthly via Stripe unless cancelled.
4.2 Listings: You grant us a worldwide, royalty-free license to display, modify, and distribute your Listing content. Ensure all content is accurate, lawful, and your own (or licensed). We may edit/remove Listings at our discretion.
4.3 Analytics: We track clicks/impressions anonymously; no guarantees on volume or leads. Data is for internal use and reporting.
4.4 Payments: Processed via Stripe; full terms at stripe.com. Late payments incur 1.5% monthly interest.
4.5 Cancellation/Refunds: Cancel anytime via account; no refunds for partial periods. UK consumers have 14-day cooling-off for digital services if no immediate access used (Consumer Contracts Regulations 2013).

5. User Conduct (All Users)
5.1 Prohibited: Illegal use, spam, scraping/data mining, reverse engineering, or harmful code. No false info or impersonation.5.2 Respect others; report issues to us.

‍6. Intellectual Property
‍6.1 We own all Site content (text, design, code) except User Listings. You retain Listing IP but grant us broad display rights.
6.2 No use of our trademarks without permission.

7. Disclaimers
7.1 Services provided "as is". No warranties on Listing accuracy, uptime, or results (e.g., clicks/sales).
7.2 We are not agents for Advertisers; deals are direct between Users and Advertisers.

8. Liability
8.1 To the maximum extent permitted by law, we exclude liability for indirect losses (e.g., lost profits). Direct liability capped at fees paid in last 12 months or £100.
8.2 Nothing excludes liability for death/injury, fraud, or consumer statutory rights.

9. Data Protection and Privacy
9.1 Our Privacy Policy governs data use. We process Listing data under UK GDPR legitimate interests contract basis.

10. Cookies and Tracking
10.1 We use cookies/analytics; see Cookie Policy. PECR-compliant consent banner required.

11. Termination
11.1 We may terminate access for breach without notice. You may stop using anytime.

12. Changes to Terms/Services
12.1 We may update Terms (notice via Site/email). Continued use constitutes acceptance.

13. Governing Law and Disputes
13.1 England and Wales law applies. Courts of England have exclusive jurisdiction (UK consumers may use local alternatives).

14. Miscellaneous
14.1 Entire Agreement: These Terms are the full agreement.
14.2 Severability: Invalid provisions do not affect others.
14.3 No Waiver: Delay in enforcement is not waiver.
14.4 Assignment: We may assign; you may not.
14.5 Third Parties: No rights for third parties (Contracts (Rights of Third Parties) Act 1999).
